SRD II
The Shareholders Rights Directive II (SRD II) Regulatory Framework, consisting of:
- Greek Law 4706/2020 on "Corporate governance of public limited companies, modern capital market, transposition into Greek law of Directive (EU) 2017/828 of the European Parliament and of the Council, measures in order to implement Regulation (EU) 2017/1131 and other provisions" and
- Commission Implementing Regulation (EU) 2018/1212, which lays down minimum requirements for the implementation of Directive (EU) 2017/828, ιs aimed at achieving greater transparency and enhancing shareholder participation in corporate governance and entered into force on 03/09/2020.
The rights and the obligations that derive from the SRD II Regulatory Framework are the following:
Shareholder Identification: The Issuer is entitled to know its shareholders in order to make crucial decisions or for supervisory needs, for a General Meeting and for distributions with special arrangements. For this purpose, it sends a shareholder identification request to Intermediaries in a standardized format. The first and each subsequent intermediary must respond to the identification request and forward it immediately further to the chain of intermediaries.
Transmission of Information regarding General Meetings and other Corporate Events: The Issuer is obliged to send information concerning a General Meeting or other Corporate Event to Intermediaries in a timely manner, in a standardized format and in the language in which it publishes its financial information and, also in a language customary in the sphere of international finance, unless not justified by its shareholder base. The first and each subsequent intermediary must forward immediately the information to the chain of intermediaries until it reaches the Shareholder.
General Meeting: The Shareholder instructs the Intermediary at which the respective securities are kept regarding the participation and voting in a General Meeting and the Intermediary must immediately transmit the information to the Issuer in a standardized format either directly or by using the chain of Intermediaries. The Issuer must confirm receipt of the electronic vote immediately after the voting process, as well as the recording and counting of the Shareholder's votes, in a standardized format at the shareholder's request (unless this information is already available).
ATHEXCSD provides services in order to facilitate Issuers, Intermediaries and their clients, so as to fulfill their obligations deriving from the Shareholders Rights Directive II (SRD II) Regulatory Framework.
Information for Participants & Intermediaries regarding the ATHEXCSD Shareholder Identification Service as Issuer Agent:
ATHEXCSD transmits to Participants or selected Intermediaries a shareholder identification request (SI request) on behalf of the Issuer and collects the responses of the Participants and the Intermediaries in the chain with the identification data of the shareholders that hold securities in an omnibus Securities Account, according to their books and records.

- AΧΙΑ e-Shareholders Meeting platform of ATHEXCSD, for the transmission by the Participants/Intermediaries of the files "Shareholder identification request" (seev.047) & "SI response cancellation" (seev.048) either in xml format via the screen "Intermediaries Actions" or in CSV format (you may find HERE the relevant sample of the file) or by data entry via the screen ''SI RESPONSE FORM''.
- Prerequisite: Use of access codes to the AXIA platform by a Participant or Intermediary.
- Procedure for the issuance of user access codes: Submission of the respective application form (which can be found HERE) by Participants or Intermediaries to ATHEXCSD and issuance of user access codes according to the relevant instructions which can be found HERE.

- In case a Participant or Intermediary imposes fees for the disclosure of shareholders' identification data as a response to shareholder identification request of an Issuer, then:
- Prior to disclosing the shareholders' identification data, the Participant or Intermediary should inform the Issuer or ATHEXCSD of the fees they will impose and the hyperlink to their respective publicly disclosed pricing policy, in order for the Issuer to be able to decide whether they will accept or not the respective fees.
- After the acceptance of the fees by the Issuer, the Participant or Intermediary should transmit the shareholders' identification data (until the Issuer deadline), issue the relevant invoice in the name of the Issuer and send it to ATHEXCSD, in order to forward it to the Issuer.

Information for Participants & Intermediaries regarding the General Meeting of ATHEXCSD Service as Issuer Agent:
ATHEXCSD, transmits to the Participants a General Meeting notice, and receives from the Intermediaries of the chain the electronic votes of the entitled beneficiaries and confirms the receipt, recording and counting of their votes.
