The decision taken by the Extraordinary General Meeting of the shareholders of the Societe Anonyme under the name "UNIBIOS HOLDINGS SOCIETE ANONYME" (General Commercial Registry number 232101000) on 10-01-2025, to acquire its own shares   was registered in the General Commercial Registry (G.E.MI.) with Registration Code Number 5251220 on 14-01-2025. This decision was taken in accordance with articles 49 and 50 of Law 4548/2018, as in force and in particular with the following terms:

The nominal value of the maximum number of shares to be acquired together with the shares already held by the company shall not exceed one tenth of the share capital. As things stand, these shares cannot be more than 1,712,501.

The price limits for the purchase of shares by the company will be from €0.01 (one Euro cent) to €3.86 (three Euro and eighty-six cents).

 The duration of the program will be from the publication of the relevant announcement in the General Commercial Registry until 31.12.2026. The acquired shares may be used for any legitimate purpose, including, but not limited to, distribution to employees and other partners, use in takeover processes, capital reduction, etc.

The above notice shall be published in accordance with the terms of the first paragraph of the second article of COMMISSION DELEGATED REGULATION (EU) 2016/1052 of 8 March 2016 supplementing Regulation (EU) No 596/2014 of the European Parliament and of the Council on regulatory technical standards on conditions applicable to buy-back programmes and stabilisation measures. The upper limit on the funds that may be allocated to the program results from the maximum purchase price and the limit of shares that may be purchased. Therefore, as of tomorrow 15.01.2025, the validity period of the program starts.
