Notification of significant changes in voting rights

ELLAKTOR S.A. (the “Company” or “Issuer”) informs (L. 3556/2007), in compliance with the Directive for transparency, about the notification of significant changes in voting rights of the Company, received on January 16^th, 2025, by  shareholder, as follows:

The shareholder under the legal name MOTOR OIL (HELLAS) CORINTH REFINERIES S.A., informed on 16 January 2025, that its percentage of the latter in the voting rights of the Company equaled 23.89% (number of shares 83,200,000) on 13 January 2025. Prior to 13 January 2025 MOTOR OIL (HELLAS) S.A. directly 26.88% (number of shares 93,600,000) of the voting rights of the Company.

Following this, the total participation and voting rights of MOTOR OIL (HELLAS) S.A. (directly 23,89% and indirectly 0%) is 23.89% (i.e. 83,200,000 common registered shares with voting rights) of the total voting rights issued by ELLAKTOR SA.

Additional information

The previous obligatory notification of MOTOR OIL (HELLAS) A.E., according to which it controlled directly 29.87% (number of shares 104,000,000) of the voting rights of the Company, took place on 9 May 2022.

The present notification is made by MOTOR OIL (HELLAS) S.A. since there has been a voting rights percentage variance exceeding 3 percentage points and at the same its percentage on the voting rights of the Company has dropped below the threshold of 25%.

Lastly, it is clarified that the percentage of voting rights of the Company controlled by MOTOR OIL (HELLAS) S.A., after the deduction of the own shares in possession of the Company, equals 23.95%.

MOTOR OIL (HELLAS) S.A. is not controlled by any natural person or legal entity in the sense of Art.3 of L.3556/2007.
