Signing of Share Sale & Purchase Agreement of HELECTOR SA

In accordance with Regulation (EU) 596/2014 of the European Parliament & Council and the Athens Stock Exchange, ELLAKTOR S.A. (hereinafter referred to as the "Company"), pursuant to the Company's relevant announcement on May 22^nd, 2024, informs the investment community about the following:

The signing of an agreement with the company MANETIAL LIMITED, a 100% subsidiary of the company MOTOR OIL HELLAS CORINTH REFINERIES S.A., for the sale of 185,793 registered voting shares of HELECTOR SA owned by the Company, corresponding to 94.44% of its fully paid-up share capital, for a total consideration of €114,731,111.11, was completed on 3.7.2024.

Completion of the transaction is subject to approval by the Competition Commission, all necessary legal approvals and licenses, and approval by the General Meeting by the Company's Shareholders which will be held on July 8^th, 2024.
